The activities of Business, Corporate Loans, Bridging Finance, Development Finance do not constitute regulated investment business under the Financial Services and Markets Act 2000. As such, clients of Cohort Invest Ltd will not be afforded the protection available under the rules of the Financial Conduct Authority (‘FCA’) and will not be eligible for compensation under the rules of the Financial Services Compensation Scheme (‘FSCS’). The website www.cohortinvest.co.uk is managed by Cohort Invest.

12. Eligibility Criteria

The investor portal (“Portal”) provides investors with details of potential investment opportunities (“Investment Opportunities”) and details of an investor’s existing investments with Cohort Invest. Investment Opportunities are only available to persons who sign up to the Portal and are approved by Cohort Invest as an investor.

To sign up to the Portal, you will need to be:

1. At least eighteen (18) years old
2. A resident of the UK
3. Hold a UK bank account

You must also certify that you fall within one of the following three categories:

• An every day investor, being a person who invests less than 10 per cent of their net assets* each year in high-risk investments. High-risk investments means securities which are not listed on an exchange.
• A high-net-worth investor, being a person who earns more than £100,000 per year or holds net assets* of at least £250,000.
• A sophisticated investor, being a person who:
  • has invested or has investments in two or more unlisted companies;
  • has been a director of a company with an annual turnover of at least £1,000,000;
  • has worked in private equity for the past two years; or
  • has been a member of a business angels network for at least the last six months.

*net assets do not include primary residence, life assurance policies and pension schemes.

The Cohort Invest approval process includes you completing our anti-money laundering and client onboarding process. We reserve the right to reject applications on such grounds as we see fit, including, without limitation to, your knowledge and understanding of investing, your financial status or the jurisdiction in which you live or are a citizen. We may also suspend your investor status at any time if we believe it is appropriate to do so.

You are responsible for all activity on the Portal by anyone using your account. If you authorise an agent, family member or employee to use your Portal account you will be responsible for their activity on the Portal. Any breach of security, loss, theft or unauthorised use of your security details must be notified to us immediately. We reserve the right not to act on your instructions where we suspect that the person logged into your Portal account is not you or we suspect illegal or fraudulent activity or unauthorised use.

It is essential to ensure that the information you provide during registration or at any other time is accurate and complete. Any changes to your information must be promptly communicated to us by updating your personal details.
